TPC Affiliate Program Terms & Conditions

Welcome to the Trusted Professional Center (TPC) Affiliate Program! These Terms and Conditions ("Terms") govern your participation in our affiliate program, including lead submission, commission earnings, and use of our affiliate platform and services (collectively referred to as the "Services"). By registering as an affiliate or using our Services, you agree to be bound by these Terms and any other relevant policies provided on the platform.

Acceptance of Terms

By registering for and participating in the TPC Affiliate Program, you agree to comply with these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must refrain from participating in the affiliate program and using the Services.

Eligibility

To participate in the TPC Affiliate Program, you must meet the following eligibility requirements:
  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal capacity to enter into a binding contract.
  • Provide accurate and complete information during registration, including valid contact and payment details.
  • Comply with all applicable laws and regulations in your jurisdiction regarding affiliate marketing and commission-based services.

Affiliate Program Services

The TPC Affiliate Program provides a platform where registered affiliates can:
  • Submit leads for professional services offered by TPC's trusted partners.
  • Refer sub-affiliates to join the program using unique referral links.
  • Track submitted leads, conversions, and commission earnings through the affiliate dashboard.
  • Receive commissions based on confirmed sales generated from their leads.
TPC acts as a facilitator between affiliates and service providers. We are not responsible for the actual service delivery or any agreements made between leads and service providers.

Affiliate Responsibilities

As a TPC affiliate, you agree to:
  • Provide accurate, complete, and up-to-date information for all lead submissions.
  • Submit only qualified leads who have a genuine interest in and authority to purchase professional services.
  • Use the platform and your affiliate status for lawful purposes only.
  • Maintain the confidentiality of your account credentials and unique affiliate links.
  • Not engage in any fraudulent, misleading, or deceptive practices, including submitting false leads or misrepresenting TPC services.
  • Not use spam, unsolicited emails, or any unethical marketing practices to promote the affiliate program.
  • Comply with all relevant laws, regulations, and industry standards.

Lead Submission and Tracking

Affiliates may submit leads through the TPC platform by providing contact details and relevant information. All leads are tracked using unique affiliate identifiers. If two affiliates submit the same lead, commission will be awarded to the affiliate who submitted first, as determined by our tracking system. Affiliates can monitor their lead status, conversions, and earnings in real-time through their dashboard.

Commission Structure

The TPC Affiliate Program operates on a two-tier commission structure:

Direct Commissions (15-25%): Affiliates earn 15% commission on the total value of every confirmed sale that originates from a lead they personally submitted.

Residual/Sub-Affiliate Commissions (5-10%): Affiliates earn 5% commission on confirmed sales generated by affiliates they refer (sub-affiliates or downline).

Commission rates may vary based on service type and are subject to change at TPC's discretion. Any changes will be communicated to affiliates in advance.

Confirmed Sales and Commission Eligibility

A sale is considered "confirmed" once:
  • The lead referred by an affiliate has engaged a TPC service provider.
  • The first payment has been successfully processed and verified.
  • There are no disputes, chargebacks, or refunds pending.
Commissions are only paid on confirmed sales. TPC reserves the right to withhold or revoke commissions if a sale is later refunded, disputed, or determined to be fraudulent.

PAYMENT & POLICIES

Payment Terms

Approved commissions are processed and paid on the 5th of every month for all confirmed sales from the previous month. Payments are made via bank transfer, PayPal, or other electronic payment methods as specified during registration.

Minimum Payout Threshold: A minimum commission balance may be required before payment is processed. This threshold will be communicated in your affiliate dashboard.

Payment Delays: TPC is not responsible for delays caused by third-party payment processors or incorrect payment information provided by affiliates.

Affiliates are responsible for any taxes applicable to their commission earnings.

Sub-Affiliate Referrals

Affiliates may refer others to join the TPC Affiliate Program using their unique referral link. There is no limit to the number of sub-affiliates you can refer. You will earn residual commissions (5-10%) on all confirmed sales generated by your sub-affiliates, creating an opportunity for passive income growth.

Program Fees

Participation in the TPC Affiliate Program is completely free. There are no registration fees, monthly fees, or hidden charges. Affiliates earn purely through commissions on confirmed sales.

Data Handling Responsibilities

As an affiliate, you agree to handle any lead information responsibly and in compliance with applicable data protection laws and regulations. You must not share, sell, or misuse any information obtained through the affiliate program. All data must be used solely for the purpose of facilitating connections with TPC service providers.

Termination and Suspension

TPC reserves the right to suspend or terminate your affiliate account if you:
  • Violate these Terms or engage in fraudulent activities.
  • Submit false or low-quality leads repeatedly.
  • Use unethical marketing practices or misrepresent TPC services.
  • Fail to comply with applicable laws and regulations.
You may terminate your account at any time through your account settings. Upon termination, any pending commissions for confirmed sales will be paid according to the normal payment schedule, provided there are no violations of these Terms.

Limitation of Liability

To the maximum extent permitted by law, TPC and its affiliates, partners, service providers, employees, or agents will not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the affiliate program or use of our Services. We do not guarantee any specific earnings, lead conversion rates, or commission amounts.

Additional Liability Disclaimer

Trusted Professional Center and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your participation in the affiliate program or use of the platform. Success in the program depends on the quality of leads submitted and market factors beyond our control.

Indemnification

You agree to indemnify and hold harmless TPC, Trusted Professional Services, and their affiliates, partners, and employees from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:
  • Your use of the affiliate platform.
  • Your violation of these Terms.
  • Your submission of leads or promotional activities.
  • Any infringement of third-party rights.

Prohibited Activities

Affiliates are strictly prohibited from:
  • Using spam, unsolicited emails, or deceptive marketing practices.
  • Misrepresenting themselves as TPC employees or official representatives.
  • Creating fake or misleading websites that impersonate TPC.
  • Using TPC's name or trademarks in domain names without authorization.
  • Bidding on TPC-related keywords in paid search campaigns without approval.
  • Submitting self-referrals or leads for services you intend to purchase.
  • Engaging in any illegal, unethical, or fraudulent activities.
  • Manipulating tracking systems or attempting to generate false commissions.
Violation of these prohibitions may result in immediate account termination and forfeiture of unpaid commissions.

Intellectual Property

All content, trademarks, logos, and materials provided by TPC remain the property of Trusted Professional Services. Affiliates are granted a limited, non-exclusive license to use provided marketing materials solely for the purpose of promoting the affiliate program. You may not modify, reproduce, or distribute TPC materials without prior written consent.

Relationship Between Parties

The relationship between TPC and its affiliates is solely that of independent contractors. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship. Affiliates have no authority to bind TPC or make commitments on behalf of TPC. Affiliates are responsible for their own taxes, insurance, and business expenses.

Confidentiality

Affiliates may have access to confidential information including but not limited to commission structures, lead conversion data, proprietary systems, and business strategies. You agree to keep all such information confidential and not disclose it to any third parties without prior written consent from TPC. This obligation continues even after termination of your affiliate account.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of TPC, or in the courts located within India.

Changes to the Terms

TPC reserves the right to modify, update, or revise these Terms at any time. Any changes will be effective when posted on the platform, and we will notify affiliates of significant changes via email or dashboard notification. Your continued participation in the affiliate program after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Warranty Disclaimer

The affiliate platform and services are provided "as is" and "as available" without warranties of any kind, either express or implied. TPC does not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components. TPC makes no guarantees regarding commission earnings, lead conversion rates, or the success of any affiliate's participation in the program.

Force Majeure

TPC shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service failures, or any other force majeure events.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

Entire Agreement

These Terms constitute the entire agreement between you and TPC regarding your participation in the affiliate program and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
